1. Introduction

• These Vendor Terms and Conditions (the "Agreement") govern your participation as a vendor ("Vendor") on ShopAlaskan.com ("Marketplace"). By registering as a Vendor, you agree to comply with and be bound by these terms and conditions.

2. Vendor Registration

• Eligibility: Vendors must be legally capable of entering into contracts and must have a valid business license.
• Account Information: Vendors must provide accurate and complete information during the registration process and keep it up to date.

3. Product Listings

• Product Requirements: All products listed must comply with Marketplace guidelines, including being authentic, legal, and accurately described.
• Prohibited Items: The sale of counterfeit, illegal, or prohibited items is strictly forbidden.
• Product Images and Descriptions: Vendors must provide high-quality images and accurate descriptions for each product.

4. Pricing and Payments

• Pricing: Vendors are responsible for setting the prices of their products. Prices must be inclusive of all applicable taxes.
• Commissions and Fees: The Marketplace will charge a commission on each sale. The current commission rate is outlined in the Vendor Dashboard.
• Payment Schedule: Payments to Vendors will be processed immediately after sales with a deduction of 10% of the order value, subject to the Marketplace’s payment processing terms. Shopalaskan reserves the right, at any time, to change the commission rate without notification and to reject payment for any reason. 

5. Order Fulfillment

• Shipping and Handling: Vendors are responsible for shipping products to customers. Shipping costs should be clearly specified in the product listing unless otherwise using the marketplaces' shipping methods.
• Delivery Timeframes: Vendors must ensure timely delivery of products. Failure to meet delivery commitments may result in penalties.
• Order Cancellations and Returns: Vendors must adhere to the Marketplace’s cancellation and return policies.

6. Customer Service

• Responsiveness: Vendors must provide prompt and courteous customer service. All customer inquiries should be addressed within 24 hours.
• Dispute Resolution: In case of disputes, Vendors agree to cooperate with the Marketplace to resolve the issue amicably.

7. Compliance and Conduct

• Legal Compliance: Vendors must comply with all applicable laws and regulations.
• Prohibited Conduct: Vendors must not engage in fraudulent, misleading, or unethical activities. Any violation may result in suspension or termination of the Vendor account.

8. Intellectual Property

• Rights: Vendors warrant that they own or have the right to sell the products listed on the Marketplace and that the listings do not infringe any third-party intellectual property rights.
• License: By listing products, Vendors grant the Marketplace a non-exclusive, royalty-free license to use product images and descriptions for marketing and promotional purposes.

9. Limitation of Liability

• The Marketplace is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the Marketplace, the sale of products, or any vendor conduct.

10. Termination

• Termination by Vendor: Vendors may terminate their account at any time.
• Termination by Marketplace: The Marketplace reserves the right to suspend or terminate a Vendor’s account for any reason, including violation of these terms.

11. Amendments

• The Marketplace reserves the right to amend these terms and conditions at any time. Vendors will be notified of any significant changes via email or through the Vendor Dashboard.

12. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law principles.
